Terms of Service

By accessing or using DaaS (the “Service”), you agree to be legally bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms in full, you must not access or use the Service. These Terms are a legally binding contract between you (“Tenant” or “User”) and AmityEdge Technologies Pvt. Ltd. (“AmityEdge”, “we”, “us”).

These Terms are supplemented by our Privacy Policy, Data Protection Policy, and any written Order Form or Statement of Work executed by the parties.

DaaS is a multi-tenant Software-as-a-Service (SaaS) platform that enables diet, nutrition, and wellness businesses (“Tenants”) to:

• Manage client onboarding, profiles, and health records
• Create, assign, and track customized diet and nutrition plans
• Manage multiple business branches and staff members with role-based access
• Access analytics and business performance dashboards
• Provide clients with a hosted intake and progress portal
• Manage leads, subscriptions, and financial reporting

The platform is hosted on Vercel (application layer) and Supabase (database and authentication layer). AmityEdge reserves the right to modify, enhance, or discontinue any feature of the Service with reasonable notice.

To use the Service, you must register for a Tenant account by providing accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account, whether or not authorized by you
• Promptly notifying AmityEdge at security@dietasaservice.com of any unauthorized use or suspected security breach
• Ensuring that all staff and sub-users you add comply with these Terms

You must not share your account credentials with unauthorized parties, create accounts on behalf of others without their consent, or use automated means to create accounts. AmityEdge reserves the right to suspend or terminate accounts that we reasonably believe to be compromised or used fraudulently.

DaaS is offered on a monthly subscription, billed in advance. There is no fixed public price list: your monthly fee is the amount quoted to you and agreed in writing before your account is activated. By continuing to use the Service after your trial, you authorize AmityEdge to invoice you that amount each month.

Billing Terms

• All fees are in Indian Rupees (INR) and are billed monthly in advance — each invoice covers the month that has not yet started
• Your free trial runs to the end of the calendar month in which it expires, so you are never charged for a month you spent partly on trial
• Payments are processed by Razorpay; we do not store your card or bank details
• Fees are inclusive of all applicable taxes unless your quotation states otherwise
• If an invoice is unpaid when the month it covers begins, we may pause access to the console. Pausing is not termination: your data is retained in full and access resumes as soon as the invoice is paid
• No refunds are provided for partial months, except where required by applicable law

Changes to Your Fee

AmityEdge reserves the right to change your monthly amount with 60 days' prior written notice. A change never applies to a month already invoiced, and you may terminate under the Termination section below if you do not accept it.

You agree to use DaaS only for lawful purposes and in ways that do not infringe the rights of others. You must not:

• Use the Service to process data that you do not have the legal right to process
• Upload, store, or transmit malware, viruses, or malicious code
• Attempt to gain unauthorized access to any part of the platform or other Tenants' data
• Conduct penetration testing, vulnerability scanning, or load testing without prior written consent from AmityEdge
• Use the Service in a manner that imposes an unreasonable or disproportionate load on our infrastructure
• Scrape, harvest, or otherwise extract data from the platform using automated tools
• Misrepresent your identity, affiliation, or the nature of your business
• Sublicense, resell, or provide access to the Service to third parties without express written authorization
• Use the Service to facilitate activities that are illegal under applicable law, including privacy violations, fraud, or breaches of data-protection law

AmityEdge reserves the right to immediately suspend, without notice, any account we determine to be in material violation of this Acceptable Use Policy.

“Tenant Data” means all data, content, and information submitted by you or your users to the Service, including client health records, business configurations, and files.

• Ownership: You retain full ownership of all Tenant Data. AmityEdge claims no rights in your data beyond those necessary to provide the Service.
• License to Operate: You grant AmityEdge a limited, non-exclusive license to store, process, and transmit Tenant Data solely to provide the Service to you.
• Data Responsibility: You are solely responsible for the accuracy, legality, and integrity of all Tenant Data. You warrant that you have all necessary rights and consents to process the data you upload.
• Data Portability: You may export your Tenant Data at any time through the platform's export features. Upon termination, data export is available for 30 days before permanent deletion.
• No Use for Training: AmityEdge will not use Tenant Data to train machine learning models or for any purpose unrelated to providing the Service to you.

AmityEdge IP: DaaS, including its software, algorithms, user interface, design, documentation, trademarks, and all underlying technology, is the exclusive intellectual property of AmityEdge Technologies Pvt. Ltd. These Terms do not grant you any ownership rights in the platform.

Your Content: Business information, client records, diet plans, and other data you enter into the Service remain your property. You grant AmityEdge a limited license to host, process, and display that content solely to provide the Service to you.

Feedback:If you provide suggestions, ideas, or feedback about the Service (“Feedback”), you grant AmityEdge a perpetual, irrevocable, royalty-free right to use that Feedback to improve the Service, without any obligation to you.

AmityEdge targets a monthly uptime of 99.9% for DaaS, excluding scheduled maintenance windows and events beyond our reasonable control (Force Majeure).

Service credits must be claimed within 30 days of the incident. Credits are the Tenant's sole remedy for downtime and apply only to paid subscriptions in good standing.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMITYEDGE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR DATA

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AMITYEDGE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, CLIENTELE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, AMITYEDGE'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

• THE AMOUNTS PAID BY YOU TO AMITYEDGE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR
• ONE HUNDRED US DOLLARS (USD $100)

These limitations apply to all claims, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not AmityEdge has been informed of the possibility of damages.

You agree to defend, indemnify, and hold harmless AmityEdge and its officers, directors, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way related to:

• Your access to or use of the Service in violation of these Terms
• Your Tenant Data or the content you submit through the Service
• Your violation of any applicable law or regulation, including privacy and health data laws
• Your infringement of any third-party rights, including intellectual property rights
• Any claim by a third party that your product or service (built on DaaS) caused harm

AmityEdge will provide you with prompt written notice of any such claim and reasonably cooperate in your defense, at your expense.

By You: You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the then-current billing period. No refunds are provided for unused time, except where required by law.

By AmityEdge: We may suspend or terminate your account immediately, without notice or liability, if you:

• Materially breach these Terms and fail to cure (where curable) within 10 business days of written notice
• Violate our Acceptable Use Policy
• Fail to pay applicable fees when due
• Become subject to bankruptcy, insolvency, or similar proceedings
• Use the Service in a manner that creates legal, regulatory, or reputational risk for AmityEdge

Effect of Termination: Upon termination, your access to the Service ceases immediately. Your data is retained for 30 days to allow export, then permanently deleted. Sections of these Terms that by their nature should survive (Intellectual Property, Liability, Indemnification, Governing Law) will continue in full force.

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall first be submitted to good-faith negotiation for 30 days.

If negotiation is unsuccessful, disputes shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Bangalore, India. The language of arbitration shall be English. Judgment on the award may be entered in any court of competent jurisdiction.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

AmityEdge may revise these Terms from time to time. For material changes, we will provide at least 30 days' notice via email to registered Tenant administrators and a banner notification within the platform dashboard.

Your continued use of the Service after the effective date of revisions constitutes acceptance of the updated Terms. If you object to any material change, your sole remedy is to terminate your subscription before the effective date of the change.
